Terms of Service

Summary: Use ClaimReconX lawfully, keep your credentials safe, pay on time, don't abuse the service. We protect your data and provide the service in good faith.

1. Acceptance of Terms

By accessing or using the ClaimReconX platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

ClaimReconX provides a cloud-based claims and remittance reconciliation platform including claim management, remittance processing, matching engine, variance analysis, reporting, and API integration services. The Service is provided on a subscription basis.

Your data belongs to you. All claims data, remittance data, and reconciliation results you upload or generate remain your property. We process this data solely to provide the Service. You may export your data at any time from the Settings page or via the API.

7. Service Level Agreement (SLA)

We target 99.9% uptime for Starter and Professional plans, and 99.99% for Enterprise. Scheduled maintenance windows are announced at least 48 hours in advance via the status page. SLA credits are available for downtime exceeding SLA targets as detailed in your plan agreement.

8. Confidentiality

Both parties agree to keep the other's confidential information — including data exchanged through the API, custom configurations, and pricing — strictly confidential. This obligation survives termination of these Terms for 3 years.

9. Intellectual Property

The Service, including the matching engine, UI, documentation, and all related software, is owned by ClaimReconX and protected by copyright and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.

10. Limitation of Liability

To the maximum extent permitted by law, ClaimReconX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Termination

Either party may terminate the Service agreement at any time. Upon termination, your access is revoked immediately and your data is retained for 30 days before deletion. You may export your data during this period by contacting support.

12. Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be resolved through binding arbitration in Nairobi, Kenya, under the Nairobi Centre for International Arbitration (NCIA) rules.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
